Terms of Service

1. Agreement

By creating an account, accessing, or using Upnex, you agree to these Terms and our Privacy Policy and Cookie Policy. If you use Upnex on behalf of a business, you represent that you have authority to bind that business, and “you” includes that entity.

2. The Service

Upnex provides AI-assisted marketing and growth tools for businesses, which may include strategy, content creation, scheduling and publishing to connected channels, lead capture, review intelligence (including Google Business Profile and other sources you connect), analytics, and related features. Features may change, be beta, or depend on third-party platforms.

3. Accounts and workspaces

• You must provide accurate registration information and keep credentials secure
• You are responsible for activity under your account and workspace
• We may suspend or terminate accounts for abuse, non-payment, or legal risk
• Plan limits (seats, businesses, usage) apply as described at signup or in-product

4. Acceptable use

You agree not to:

• Violate law, platform policies (Meta, Google, etc.), or third-party rights
• Upload malware, scrape without authorization, or attempt to breach security
• Use Upnex to spam, deceive consumers, or generate unlawful or harmful content
• Resell or reverse engineer the Service except as permitted by law
• Misrepresent ownership of listings, pages, or brands you connect

5. Your content and integrations

You retain ownership of content and data you submit (“Customer Content”). You grant Upnex a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service. You must have rights to Customer Content and to authorize connected accounts (for example Business Profile manager access or Meta Pages).

Third-party services are governed by their own terms. Outages or API limits (for example Google Places returning a limited public review sample unless owner APIs are approved) are outside our full control.

6. AI outputs

AI-generated text, insights, and suggestions are probabilistic and may be inaccurate or incomplete. You are responsible for reviewing outputs before publishing or acting on them. Outputs are provided “as is” and do not constitute legal, financial, or professional advice.

7. Fees and subscriptions

Paid plans are billed according to the pricing shown at purchase. Taxes may apply. Unless stated otherwise, subscriptions renew until cancelled. Fees are generally non-refundable except where required by law or expressly offered by us.

8. Intellectual property

Upnex, including software, branding, and documentation, is owned by us or our licensors. These Terms do not transfer ownership of our IP to you. Feedback you provide may be used freely to improve the Service.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for the Service relationship, except for information that is public, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT AI RESULTS WILL MEET YOUR EXPECTATIONS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPNEX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR INR 5,000 IF YOU ARE ON A FREE PLAN).

12. Indemnity

You will defend and indemnify Upnex against claims arising from your Customer Content, your use of the Service, your integrations, or your violation of these Terms or third-party rights, except to the extent caused by our willful misconduct.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach or risk. Upon termination, your license ends; provisions that by nature should survive (including IP, disclaimers, limitations, and indemnity) will survive.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in Ahmedabad, Gujarat, India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply in your place of residence.

15. Changes

We may update these Terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance, except where additional consent is required by law.
